Introduction & acceptance

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," "User") and MOBINIL LLC, a limited liability company organized under the laws of the State of Delaware, United States, operating under the brand MOBINIL eSIM, with its principal place of business at 254 Chapman Rd, Ste 208 #17858, Newark, DE 19702, USA.

This Agreement governs your access to and use of the MOBINIL eSIM website, mobile applications (when launched), and all related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Refund Policy, incorporated herein by reference.

Definitions

• "Account" — the account created by a User to access and manage the Services.
• "Activation" — the process by which an eSIM profile is downloaded, installed, and provisioned on a User's Device.
• "Data Plan" — a prepaid telecommunications data package purchased through the Services.
• "Device" — a smartphone, tablet, or other device capable of supporting eSIM technology.
• "eSIM" — an embedded Subscriber Identity Module compliant with GSMA Remote SIM Provisioning (RSP) specifications.

Service description

MOBINIL operates as a global eSIM connectivity aggregator and marketplace, curating prepaid international data plans from established GSMA-compliant providers and tier-one mobile operators. Through the Services, Users may browse and purchase prepaid eSIM Data Plans for the United States and 110+ countries, activate profiles via QR code or manual entry, and manage active plans, monitor usage, and purchase additional data.

Nature of service. Cellular coverage, signal quality, and data speeds are delivered by underlying mobile network operators and connectivity partners and may vary by location, device, and conditions beyond our reasonable control.

Eligibility

Age

The Services are intended for Users who are at least thirteen (13) years of age. Users under 18 must have verifiable parental or guardian consent.

Purchase

To purchase a Data Plan, you must be at least eighteen (18) years of age (or have such consent), possess a valid payment method, and not be located in any jurisdiction subject to a United States government embargo.

Device compatibility

It is your sole responsibility to confirm that your Device supports eSIM technology, is carrier-unlocked, and is compatible with the networks of your destination.

Account registration

You agree to provide accurate information, maintain the confidentiality of your credentials, and accept responsibility for all activity under your Account. We may suspend or terminate Accounts for breach of these Terms, fraudulent activity, or payment disputes. You may delete your Account at any time through your settings; thereafter, your data is handled in accordance with our Privacy Policy.

Pricing & currency

Prices are displayed in United States Dollars (USD) and are subject to change without prior notice.

Processing

All transactions are processed by Stripe (PCI-DSS Level 1 certified). MOBINIL does not collect, store, or process your full card number or CVV at any time.

Accepted methods & taxes

Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay, and other digital wallets as may be added. You are responsible for all applicable taxes arising from your purchase. If a payment is declined, reversed, or charged back, we reserve the right to suspend or terminate your Account and pursue collection by lawful means.

eSIM activation & usage

Activation. Upon successful payment, you will receive a QR code, ICCID, and activation string with installation instructions.

Validity. A Data Plan's validity period begins upon Activation. Unused data does not roll over, and expired Data Plans cannot be reactivated.

Coverage. We do not guarantee uninterrupted, error-free service or specific minimum data speeds, as coverage depends on partner networks and local conditions.

Acceptable use

You agree not to use the Services to:

• Engage in any unlawful, fraudulent, or deceptive activity.
• Send spam or unsolicited bulk communications.
• Conduct denial-of-service attacks or other network disruption.
• Resell or redistribute Data Plans without our prior written consent.
• Reverse-engineer, decompile, or extract source code from the Services.
• Develop competing products or services.

Intellectual property rights

Ownership. All intellectual property rights in and to the Services — including the MOBINIL and MOBINIL eSIM brands, logos, software, and content — are owned by or licensed to MOBINIL LLC.

Trademarks. MOBINIL™ and MOBINIL eSIM™ are trademarks of MOBINIL LLC, the subject of applications pending before the United States Patent and Trademark Office (USPTO). Any unauthorized use is strictly prohibited.

Limited license. Subject to your compliance with these Terms, MOBINIL grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes.

Privacy

Your privacy is governed by our Privacy Policy, incorporated herein by reference. We comply with GDPR, CCPA, and other applicable data-protection laws.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind. To the maximum extent permitted by law, MOBINIL disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Because connectivity is delivered by third-party operators, we do not warrant coverage, speed, or uninterrupted service.

Limitation of liability

To the maximum extent permitted by law, MOBINIL shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

MOBINIL's aggregate liability for all claims shall not exceed the greater of: (a) the amount you paid for the Data Plan giving rise to the claim in the preceding twelve (12) months, or (b) one hundred United States dollars ($100.00).

Indemnification

You agree to indemnify and hold harmless MOBINIL, its affiliates, officers, directors, employees, and partners from any claims, liabilities, damages, and costs arising from your use of the Services, your breach of these Terms, or your violation of any third-party rights.

Termination

Either party may terminate this Agreement at any time. We may suspend or terminate access immediately for breach, fraud, or legal requirements. Provisions that by their nature should survive termination shall survive.

Modifications to terms

We may modify these Terms at any time, providing at least thirty (30) days' advance notice of material changes via email or in-application notification. Continued use after the effective date constitutes acceptance.

Governing law

These Terms, and any dispute arising hereunder, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Dispute resolution & arbitration

Binding arbitration. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial and Consumer Arbitration Rules, conducted in Wilmington, Delaware, or remotely by agreement.

Class action waiver. You and MOBINIL agree that each party may bring claims only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

Exceptions. Excluded from mandatory arbitration: (a) small claims court actions, and (b) requests for injunctive relief to protect intellectual property rights.

Opt-out. You may opt out of this arbitration agreement by written notice to legal@mobinil-esim.com within thirty (30) days of first accepting these Terms.

App store & platform compliance

Apple. These Terms are between you and MOBINIL, not Apple Inc. Apple has no responsibility for the application or its content and no obligation to provide support. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the application.

Google. Google LLC is not a party to these Terms. Your use of the application is also subject to Google Play's Terms of Service.

Export controls

You represent that you are not located in, and are not a national or resident of, any country subject to a U.S. government embargo, and are not listed on any U.S. government list of prohibited or restricted parties.

General provisions

• Entire agreement — these Terms, with our Privacy Policy and Refund Policy, constitute the entire agreement.
• Severability — if any provision is held invalid, the remainder remains in effect.
• No waiver — failure to enforce a right is not a waiver of it.
• Assignment — you may not assign these Terms without our prior written consent.
• Force majeure — we are not liable for delays or failures due to causes beyond our reasonable control.
• Language — these Terms are written in English; the English version prevails over any translation.
